1About these terms
These terms govern participation in the Spocket Affiliate Partner Program (the "Program") run by Spocket Inc., ("Spocket", "we", "us"). They take effect on 26 October 2026 and replace any earlier program terms.
By applying to the Program, accepting these terms in PartnerStack, or continuing to take part after they are published, you ("Partner", "you") agree to them for yourself or for the business you represent, and you confirm you have authority to do so.
The Program runs on PartnerStack. PartnerStack's Partner Terms govern your PartnerStack account and payouts; these terms govern your relationship with Spocket. Where the two conflict on a Program matter, these terms apply.
These terms cover the Program on PartnerStack. If you work with Spocket through another network, such as Impact, you are bound by the terms you accepted on that network, which carry the same brand rules. Personal information you give Spocket is handled under the Spocket Privacy Policy.
Definitions
- Referred Customer: a person or business that creates a new Spocket retailer account through your referral link within the attribution window in section 3 and had no Spocket account before.
- Qualifying Payment: a subscription payment Spocket actually receives from a Referred Customer, net of refunds, chargebacks, discounts and taxes.
- Brand Terms: the terms defined in section 5.
- Spocket Marks: the Spocket name, the Spocket logo, the Brand Terms and any other trademark or trade dress of Spocket.
2Joining the Program
You join by applying through PartnerStack. Spocket may accept or decline any application at its discretion and does not have to give a reason.
- Give accurate, complete information in your application and keep it current, including your website, channels and promotion methods.
- One Program account per person or business. Duplicate accounts may be merged or closed, and commission on duplicates may be withheld.
- You must be at least 18 and able to enter a binding contract. Spocket employees, contractors and their immediate family may not join.
- Spocket places partners in groups (currently Bronze, Silver, Gold and Platinum) that set their commission rate. Spocket may move you between groups based on performance, compliance and the criteria published in PartnerStack.
- If you already have a Spocket retailer account, you may join the Program, but you may not earn commission on your own account or on accounts you control (section 6).
3Referral links and attribution
You earn commission only on customers tracked to your PartnerStack referral link. PartnerStack's tracking is the record of what you referred; Spocket does not add referrals manually.
- Attribution: a visitor who clicks your link and creates a Spocket account through the link.
- Last click wins. If a visitor clicks several partners' links, the last link clicked before sign-up gets the referral.
- Existing accounts don't count. A person or business that already has, or has had, a Spocket account is not a Referred Customer, even if they click your link or create a new login.
- Spocket's own channels take precedence. Spocket may exclude a referral where its records show the customer came through Spocket's own paid search, email or other marketing rather than through you.
- Your link must be used as issued. Do not alter, mask, redirect through intermediate pages that set tracking without a click, or embed the link in a way that fires it without the visitor's deliberate action.
If you believe a referral was tracked incorrectly, raise it through PartnerStack Messages within 30 days of the sign-up. Spocket's decision on attribution disputes is final.
4Commissions and payment
You earn a percentage of each Qualifying Payment made by your Referred Customers, for as long as they remain paying customers. The percentage depends on your group.
- Recurring. Commission applies to every Qualifying Payment the Referred Customer makes, not only the first, while they stay subscribed and you remain in the Program.
- Qualifying Payments only. No commission is earned on free plans, trials, card-verification charges, refunded or charged-back payments, failed or past-due invoices, or payments made with a 100% discount.
- Timing. Commission is created in PartnerStack about 30 days after Spocket receives the payment, so that refunds and chargebacks can be reflected first. Commission then follows PartnerStack's approval and payout cycle.
- Adjustments. If a payment is refunded, charged back or found to be fraudulent after commission was created, Spocket may reverse the commission or deduct it from future commission.
- Holds. Spocket may hold commission while it reviews unusual activity, including PartnerStack fraud flags, high rates of failed first payments, or a suspected breach of these terms. Spocket will tell you the reason through PartnerStack.
- Payout. PartnerStack pays you on Spocket's behalf, in US dollars, to the payout method in your PartnerStack account, once your balance reaches PartnerStack's minimum payout threshold. PartnerStack's fees and payment terms apply.
- Taxes. You are responsible for all taxes on your commission. Spocket may ask for tax forms before payment is released.
- Changes. Spocket may change commission rates and group criteria with 30 days' notice through PartnerStack. Changes apply to payments received after the notice period; they do not reduce commission already earned.
Annual and other prepaid plans earn commission on the amount actually paid, when it is paid. Bonuses, challenges and marketing funds that Spocket offers through PartnerStack have their own rules, which apply in addition to these terms.
5Paid search and the Spocket brand
Partners may not bid on Spocket's brand terms in paid search, and may not present their ads as Spocket's own. This section applies from 26 October 2026 on every search engine and advertising network, including Google Ads, Microsoft Advertising, Yahoo, DuckDuckGo, Amazon and app-store search ads.
5.1 Brand Terms
"Brand Terms" means:
- "Spocket" and "Spocket.co";
- misspellings and variations of it, including "Spoket", "Sprocket", "Spockett", "Spockit", "Spocet" and any other spelling a searcher would use when looking for Spocket;
- any phrase that contains a Brand Term, such as "Spocket login", "Spocket pricing", "Spocket reviews", "Spocket dropshipping", "Spocket vs", "Spocket alternative" or "Spocket app";
5.2 No bidding on Brand Terms
You may not bid on, buy, target or otherwise cause your ads to appear for a Brand Term, in any keyword match type (exact, phrase or broad), in any country or language. Broad-match or dynamic campaigns that end up showing for Brand Terms count as bidding on them. You must add Brand Terms as negative keywords in every paid search campaign that promotes Spocket. Any exception must be agreed with Spocket in writing in advance.
5.3 Ads must not look like Spocket's
In any paid ad, whether or not it runs on a Brand Term:
- do not use "Spocket" or "official site" in the headline or as the advertiser or business name;
- do not use the Spocket logo, icon or brand colours in a way that makes the ad look like Spocket's own;
- where your ad links to Spocket through your referral link, the search engine will usually show a Spocket domain (such as spocket.co or get.spocket.co) as the display URL; in that case the headline and the advertiser name must be clearly your own, so the ad is not taken to be Spocket's;
- make clear, where the ad format allows it, that you are an independent partner.
You may mention Spocket by name in the description of an ad to say what you are recommending, provided the ad as a whole does not present you as Spocket.
5.4 Domains and handles
You may not register or use a domain name, sub-domain, social-media handle, app name or business name that contains a Brand Term or is confusingly similar to one.
5.5 Consequences
Spocket reviews partners' paid search activity, including through search-engine transparency tools and the referral data it receives. If you breach this section:
- Spocket will remove you from the Program, and
- commission on customers acquired in breach of this section is not payable and may be reversed, including commission already approved.
5.6 Where to focus instead
Paid search on non-brand terms is welcome, for example "dropshipping suppliers", "US dropshipping suppliers", "AliExpress alternative", "print on demand suppliers" or "Shopify dropshipping app", as are content, video, email, courses, communities and social channels. Partners who bring new customers through these channels are eligible for higher commission groups (section 2).
6How you may promote Spocket
Promote Spocket honestly, to people who could genuinely use it, through channels you control or have permission to use.
- Your own websites, blogs, newsletters, courses, communities, podcasts and social-media accounts.
- Video content, reviews, tutorials and comparisons.
- Paid advertising on non-brand terms and to audiences you target yourself, subject to section 5.
- Spocket's approved marketing materials from PartnerStack, used as supplied.
- Self-referrals. Earning commission on your own Spocket account, or on accounts owned or controlled by you, your business, your employees or your family.
- Incentivised sign-ups. Paying, rebating or rewarding people to sign up, or promoting Spocket on cashback, reward or incentive sites, unless Spocket has approved it in writing.
- Unauthorised coupons. Publishing or promoting discount codes that Spocket did not issue to you, or presenting a public offer as an exclusive one.
- Spam. Unsolicited email, SMS, direct messages or comments. Email promotion must comply with CAN-SPAM, CASL and any other applicable law, and recipients must have opted in.
- Misleading claims. False or unverified statements about Spocket's products, pricing, suppliers, shipping times or earnings potential, or claims that go beyond what Spocket publishes.
- Tracking manipulation. Cookie stuffing, forced clicks, hidden iframes, pop-unders, redirects or scripts that set tracking without a deliberate click, and bulk or automated account creation.
- Impersonation. Presenting yourself as Spocket, a Spocket employee or Spocket's official site, in ads, content, emails or social profiles.
- Inappropriate placements. Promoting Spocket on sites or channels with illegal, adult, hateful, violent or infringing content, or that target people under 18.
- Disparagement. Using words such as "scam", "fraud" or "rip-off" about Spocket in ads, titles or copy, including to attract clicks.
Disclosure. Where your audience is in the United States, Canada, the United Kingdom or the European Union, you must disclose clearly and close to your link that you earn a commission if people sign up, in line with FTC, Competition Bureau, ASA and other applicable guidance.
7Trademarks and marketing materials
Spocket owns the Spocket Marks and all marketing materials it provides. You get a limited, revocable, non-exclusive licence to use them only to promote Spocket under these terms, and only as set out here.
- Use the logos, banners, screenshots and copy that Spocket provides through PartnerStack, without altering them.
- You may use the word "Spocket" in your content to describe and recommend the service, in plain text, as long as section 5 is respected and nothing suggests Spocket endorses or operates your site.
- Do not use the Spocket Marks in a way that could confuse people about who you are, and do not combine them with your own name or logo.
- Do not apply to register any trademark, domain name or handle that includes a Spocket Mark.
- Spocket may ask you to change or remove any use of its marks or materials, and you must do so within 5 business days.
The licence ends when you leave the Program or when Spocket withdraws it.
8Monitoring and enforcement
Spocket reviews partner activity to keep the Program fair for the partners who follow the rules.
- Spocket may review your traffic sources, ads, landing pages, referral patterns and the sign-ups attributed to you at any time, and may ask you to explain or document where your referrals come from. Answer within 5 business days.
- PartnerStack applies its own fraud detection. A fraud flag or high-risk score may lead Spocket to hold commission while it reviews the account.
- Spocket decides whether a breach has occurred and may apply any of the following, alone or together, in proportion to the breach: a written warning, a hold on commission, reversal of commission on affected customers, a move to a lower group, suspension, or removal from the Program.
- Removal for breach is immediate and you forfeit commission that has not yet been paid, to the extent it relates to the breach.
- Spocket may also report conduct to PartnerStack, to advertising platforms and to the authorities where it may be unlawful.
9Confidentiality and data
Keep confidential anything about the Program that Spocket does not make public, including your commission rates, unreleased offers, and any customer or performance data you see in PartnerStack.
- Spocket does not share Referred Customers' personal data with you beyond what PartnerStack displays. Do not attempt to obtain it from Spocket, customers or anyone else.
- Any personal data you collect yourself while promoting Spocket, such as email subscribers, is yours to protect. You are responsible for complying with privacy law, including GDPR, PIPEDA and CCPA where they apply, and you may not transfer that data to Spocket without a written agreement.
- You may describe yourself as a Spocket partner, and you may share your own earnings and results, but not Spocket's internal figures or those of other partners.
10Term, termination and changes
These terms apply from the day you accept them until either of us ends your participation.
- You can leave at any time through Program settings in PartnerStack. Commission already approved is paid in the normal cycle; no new commission is earned after you leave.
- Spocket can end your participation with 30 days' notice for any reason, or immediately for breach of these terms, suspected fraud, inactivity of more than 12 months, or if the Program closes.
- Effect on commission. If Spocket ends your participation for breach, unpaid commission connected to the breach is forfeited. Otherwise, approved commission is paid in the normal cycle. Recurring commission stops when your participation ends.
- Changes to these terms. Spocket may update these terms. When it does, PartnerStack will ask you to accept the new version before you continue using the Program, and Spocket will tell you what changed. If you do not accept, you can leave under this section. Changes to commission rates follow section 4.
- The adjustment and reversal rights in sections 4 and 8, and sections 7, 9 and 11, continue to apply after your participation ends.
11Legal terms
Independent partners. You take part in the Program as an independent contractor. Nothing here creates an employment, agency, partnership or joint-venture relationship, and you may not make commitments on Spocket's behalf.
No guarantee. Spocket does not guarantee any level of traffic, sign-ups or commission, or that the Program, PartnerStack or Spocket's website will be available without interruption.
Limitation of liability. To the extent the law allows, Spocket is not liable for indirect, incidental, special or consequential loss, including lost profits, and Spocket's total liability to you under these terms in any 12-month period is limited to the commission paid to you in that period. These limits do not apply to a breach of section 9 or to infringement of the other party's intellectual property.
Indemnity. You will cover Spocket's losses, costs and reasonable legal fees arising from your breach of these terms, your promotional activity, or your violation of any law or third-party right, including advertising, privacy and intellectual-property law.
Compliance with law. You will comply with all laws that apply to your promotion of Spocket, including advertising, consumer-protection, anti-spam and privacy laws, and the policies of any platform you advertise on.
Governing law. These terms are governed by the laws of Canada that apply there, as are Spocket's Retailer Terms of Service. The courts in Canada have exclusive jurisdiction over any dispute, you consent to that jurisdiction, and each of us waives any right to a jury trial. These terms are drawn up in English.
General. If any part of these terms is unenforceable, the rest remains in force. Spocket's failure to enforce a term is not a waiver. Notices to you are given through PartnerStack or to the email address on your account and are treated as received on the second business day after sending. You may not assign these terms without Spocket's written consent; Spocket may assign them to an affiliate or to a successor to its business. These terms, together with the PartnerStack Partner Terms and any written agreement Spocket signs with you, are the whole agreement about the Program; where a signed agreement conflicts with these terms, the signed agreement prevails.
Contact. Questions about these terms or the Program: Spocket Inc., or through PartnerStack Messages.
